Terms of Service

1. Agreement to Terms

By accessing or using IndieSignals ("Service"), operated by IndieSignals ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms from time to time; continued use after changes constitutes acceptance. Material changes will be reflected by updating the "Last updated" date on this page.

2. Description of Service

IndieSignals provides a startup detection engine that delivers Product Hunt product launch data to you on a scheduled basis. The Service may include: (a) daily webhook delivery of new Product Hunt products to a URL you provide; (b) Google Sheets sync so that product data is written to a spreadsheet you connect; (c) enriched product and company data (which may include publicly available contact or profile information such as emails or LinkedIn URLs where available); (d) exports of the historical dataset where offered; and (e) a dashboard to manage integrations and view history.

We may modify, suspend, or discontinue any part of the Service at any time, including features, delivery methods, data fields, enrichment sources, or supported integrations. Where practicable, we will provide reasonable notice of material changes.

3. Account and Registration

You must register for an account and, where applicable, create or join an organization to use paid features. You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity under your account. You must be at least 16 years old (or the age of majority in your jurisdiction) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Subscription, Payment, and Cancellation

The paid plan is billed through Stripe on a recurring basis (typically monthly) unless otherwise stated at checkout. By subscribing, you authorize recurring charges to your payment method for the applicable fees and billing cycle until you cancel. Fees are charged in advance for each billing period.

You may cancel anytime through your account billing settings or by contacting us. Cancellation stops future renewals; you retain access to paid features until the end of the current paid billing period. We do not provide prorated refunds for unused time in a billing period, except where required by law. Fees already paid are non-refundable except as required by law.

We track when the full dataset is downloaded. If you download the full dataset, you are not entitled to a refund for that billing period, except where required by law. We may change pricing on reasonable notice; continued use after a price change constitutes acceptance. Failed or overdue payments may result in suspension or termination of access.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws (including anti-spam, privacy, and data-protection laws).
• Resell, redistribute, sublicense, or publicly republish the Service or delivered datasets in a manner that competes with us, creates a substitute data product, or exceeds your plan.
• Attempt to gain unauthorized access to our systems, other accounts, or third-party integrations.
• Provide false webhook URLs, abuse Google Sheets or other integrations, or use the Service to send spam or malicious content.
• Reverse engineer, scrape, or overload our APIs or infrastructure beyond normal use.
• Share account credentials or allow unauthorized third parties to use your account.

We may suspend or terminate your access if we reasonably believe you have violated these Terms or abused the Service.

6. License to Use Delivered Data

Subject to these Terms and your active subscription (or other paid access), once data is delivered to you, you may use it freely for your own purposes—including research, outreach, CRM enrichment, analytics, automation, and other business uses—without needing further permission from us.

IndieSignals is not liable for how you use the data, or for any outcomes, claims, damages, or disputes arising from that use (including emails you send, CRM imports, decisions you make, or contacts you make with people or companies). You are solely responsible for your use of delivered data, including any emails, LinkedIn URLs, or other contact information, and for complying with all applicable laws and third-party policies (including consent, opt-out, and anti-spam requirements). We do not guarantee that any contact information is accurate, current, or that you have a legal right to contact the person or company based solely on receiving it from us.

The one restriction: you may not resell, redistribute, or sublicense the raw dataset or data feed as a competing product or substitute for the Service.

7. Data and Integrations

You are responsible for the webhook URLs and third-party integrations (e.g., Google Sheets) you configure, including securing your endpoints, managing access to connected spreadsheets, and keeping credentials and signing secrets confidential. We deliver data to the endpoints and spreadsheets you specify; we are not responsible for how you or third parties process, store, or secure that data, or for failures caused by your systems, misconfigured URLs, revoked OAuth access, rate limits, or third-party outages.

You retain ownership of your account content and configuration (such as webhook URLs and filter settings). You grant us a limited license to use that information solely to operate and improve the Service. Our use of your personal data is governed by our Privacy Policy. Product Hunt and other source data are subject to their respective terms and policies; IndieSignals is not affiliated with or endorsed by Product Hunt.

8. Service Level and Data Delivery

IndieSignals does not provide a service level agreement (SLA) for data delivery. We do not guarantee any specific delivery window, uptime, or schedule for when product or other data will be sent to you. For example, we do not guarantee that products from a given day (e.g., yesterday's launches) will be delivered immediately or within any fixed timeframe.

If our data collection or delivery process breaks or is delayed, we will work to fix it as soon as reasonably possible and, once restored, send any data that has not yet been delivered. Delayed or missed delivery does not entitle you to a refund, credit, or other compensation, except where required by law.

The Service depends on third-party sources and providers (including Product Hunt, enrichment sources, Google, Stripe, and hosting providers). Changes, outages, rate limits, or restrictions from those parties may reduce, delay, or alter the data available through the Service.

9. Intellectual Property

We own or license the IndieSignals brand, software, and materials we provide. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes in accordance with these Terms. You do not acquire any ownership rights in our technology, dashboards, pipelines, or data feeds. Feedback you provide may be used by us without obligation to you.

10. Disclaimers

The Service is provided "as is" and "as available." We do not warrant that the Service will be uninterrupted, error-free, or complete. Product Hunt and enriched data are sourced from third parties; we do not guarantee their accuracy, completeness, freshness, or availability. Data provided through the Service is for informational and operational use only and is not investment, legal, tax, or professional advice. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, IndieSignals and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunities, arising from your use of the Service or of any data delivered through it—including how you use that data, delayed or missed deliveries, incomplete or inaccurate data, or third-party outages. Our total liability for any claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations; in such cases, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless IndieSignals and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or delivered data (including outreach or other communications you send), your violation of these Terms, or your violation of any law or third-party rights.

13. Termination

You may cancel your account or subscription at any time through your account settings or by contacting us. We may suspend or terminate your access for breach of these Terms, non-payment, or for any other reason with reasonable notice where practicable. Upon termination or expiry of paid access, your right to use the Service and to receive new data deliveries ceases. Data already delivered to your systems remains subject to Section 6. We may delete or retain account data in accordance with our Privacy Policy and legal obligations. Provisions that by their nature should survive (e.g., license restrictions, disclaimers, limitation of liability, indemnification) will survive termination.

14. Communications

We may send you transactional emails related to the Service (for example account verification, billing, security alerts, and important service notices). You may also receive optional product updates if you opt in or do not opt out where that option is offered. Marketing messages, where sent, will include an unsubscribe mechanism as required by law.

15. General

These Terms constitute the entire agreement between you and IndieSignals regarding the Service and supersede prior agreements on the same subject. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control. These Terms are governed by the laws of the jurisdiction in which we operate, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction, unless otherwise required by mandatory law.
