Terms of Service

1. Agreement to Terms

By accessing or using IndieSignals ("Service"), operated by IndieSignals ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms from time to time; continued use after changes constitutes acceptance.

2. Description of Service

IndieSignals provides a startup detection engine that delivers Product Hunt product launch data to you on a scheduled basis. The Service may include: (a) daily webhook delivery of new Product Hunt products to a URL you provide; (b) Google Sheets sync so that product data is written to a spreadsheet you connect; (c) enriched company data (e.g., email, Twitter, LinkedIn) where offered by your plan; and (d) a dashboard to manage integrations and view history. Features and data scope may vary by subscription plan (e.g., Pro, Early Bird, Unlimited).

3. Account and Registration

You must register for an account and, where applicable, create or join an organization to use paid features. You agree to provide accurate information and to keep your account credentials secure. You are responsible for all activity under your account. You must be at least 16 years old (or the age of majority in your jurisdiction) to use the Service.

4. Subscription and Payment

Paid plans (e.g., Pro, Early Bird) are billed through Stripe. By subscribing, you agree to the applicable recurring charges and billing cycle. Fees are non-refundable except as required by law or as stated in our refund policy. We may change pricing on reasonable notice; continued use after a price change constitutes acceptance. For "Contact Us" plans (e.g., Unlimited), terms and pricing will be agreed separately.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws.
• Resell, redistribute, or sublicense the Service or data in a manner that competes with us or exceeds your plan.
• Attempt to gain unauthorized access to our systems, other accounts, or third-party integrations.
• Provide false webhook URLs, abuse Google Sheets or other integrations, or use the Service to send spam or malicious content.
• Reverse engineer, scrape, or overload our APIs or infrastructure beyond normal use.

We may suspend or terminate your access if we reasonably believe you have violated these Terms or abused the Service.

6. Data and Integrations

You are responsible for the webhook URLs and third-party integrations (e.g., Google Sheets) you configure. We deliver data to the endpoints and spreadsheets you specify; we are not responsible for how you or third parties process or store that data. Our use of your personal data is governed by our Privacy Policy. Product Hunt and other source data are subject to their respective terms and policies.

7. Intellectual Property

We own or license the IndieSignals brand, software, and materials we provide. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes in accordance with these Terms. You do not acquire any ownership rights in our technology or data feeds.

8. Disclaimers

The Service is provided "as is" and "as available." We do not warrant that the Service will be uninterrupted, error-free, or complete. Product Hunt and enriched data are sourced from third parties; we do not guarantee their accuracy or availability. To the fullest extent permitted by law, we disclaim all warranties, express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, IndieSignals and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claims related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. Some jurisdictions do not allow certain limitations; in such cases, our liability is limited to the fullest extent permitted by law.

10. Indemnification

You agree to indemnify and hold harmless IndieSignals and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may cancel your account or subscription at any time through your account settings or by contacting us. We may suspend or terminate your access for breach of these Terms, non-payment, or for any other reason with reasonable notice where practicable. Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (e.g., disclaimers, limitation of liability, indemnification) will survive termination.

12. General

These Terms constitute the entire agreement between you and IndieSignals regarding the Service. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. These Terms are governed by the laws of the jurisdiction in which we operate, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction, unless otherwise required by mandatory law.
